Current operational boundary: Checkout acceptance is fingerprint-bound to the versioned terms below, so their marked bytes remain unchanged until any replacement receives human policy and legal review. Those preserved terms do not establish that ClickRadius can change a particular site. Public paid enrollment and automatic live-site changes are not open. An exact site correction is eligible to be applied only with current authorization and a connection proven capable of that effect; otherwise it remains for review or customer implementation. Provider acceptance and independent public-origin readback are separate evidence states. A JavaScript-snippet effect is client-side and cannot be verified in raw origin HTML. Reversal is available only where the connector and effect have a recorded prior state and supported reversal path.

By creating an account, signing up for any plan, or using any ClickRadius service, you agree to these Terms. Please read them carefully.

1. Service Description

ClickRadius is a software-as-a-service platform that analyzes websites for AI search readiness, generates and deploys optimization fixes, monitors brand citations across AI engines (ChatGPT, Claude, Gemini, Perplexity), and produces white-label reports. Operated by ClickRadius LLC ("we," "us," "ClickRadius"), which owns all intellectual property.

2. Account Eligibility & Responsibility

You must be at least 18 years old and authorized to enter into binding agreements.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity under your account.
You agree to provide accurate information and keep it updated.
You must notify us immediately of any unauthorized access.

3. Plans, Fees, and Payment

Retail Pricing

ClickRadius — $499/month per website. This is the standard rate for the large majority of websites.
Score-bound price decision. Before purchase, a current ClickRadius Score measures objective recurring service scope. A materially larger footprint—such as more pages or templates, locations, markets, languages, or managed publishing destinations—may produce a different monthly price. The exact amount and reasons are shown before acceptance. A low score, repair backlog, industry, or perceived ability to pay does not increase price.
No manual quote wait. The price shown by the scoring engine is the price available for acceptance at checkout, subject to its displayed expiration and the website scope remaining unchanged.
Retail term. Direct retail service is month-to-month after the 14-day trial, with no minimum initial term.

Agency / Reseller Plans

Agency wholesale pricing is available through the ClickRadius Partner Program. The standard base is $200 per Client site per month. Every site completes the ClickRadius Score before activation; the server may adjust price only for objectively larger recurring service scope and explains that adjustment before acceptance. There is no agency signup charge, agency setup charge, per-site setup charge, platform minimum, or agency trial. The Agency bills and supports its own Clients, and each activated site has its own four-month initial term before renewing month-to-month. See the current Partner Agreement reference for full terms.

Payment Terms

Retail signup requires a valid card. The 14-day trial begins only after secure checkout confirms the card and subscription; the accepted monthly price is charged after the trial unless canceled beforehand.
Retail paid periods are billed monthly in advance.
Agency signup itself is free. Each agency Client site is charged to the Agency's validated payment method when that scored site is activated, then renews monthly from that site's activation anniversary.
Service activation and continued paid capabilities require confirmed payment. A failed or unresolved payment does not create a new entitlement, and an uncertain charge is reconciled before another charge is attempted.

Refunds

Direct retail subscriptions are month-to-month and payments for a current billing period are non-refundable except where required by law. Retail customers may cancel the trial before it ends to avoid the first charge, or cancel a paid subscription before its next renewal. Agency Client-site cancellation and the four-month initial term are governed by the current Partner Agreement.

4. Acceptable Use

You agree NOT to:

Use the platform for any unlawful purpose
Submit websites you do not own or have explicit authorization to modify
Attempt to reverse-engineer, decompile, or extract the underlying source code or algorithms
Use automated tools to scrape, harvest, or copy data from the platform
Resell or sublicense the platform without an authorized agency partner agreement
Attempt to circumvent usage limits, rate limits, or feature gates
Submit malicious code, content that infringes intellectual property, or content that is illegal in any applicable jurisdiction
Use the platform in a manner that could damage, disable, or impair the service

5. Auto-Fix Deployment Authorization

If you authorize ClickRadius to deploy fixes to your website (via WordPress REST API, JavaScript snippet, or Cloudflare Worker), you represent that:

You have full authorization to make changes to the website
You have backups of your website prior to enabling auto-fix
You understand that automated changes can be reverted via the platform’s revert function

ClickRadius is not liable for any indirect business impact resulting from authorized fixes deployed to a website you control.

6. Intellectual Property

The ClickRadius platform, including its scoring algorithms, content generation methods, schema templates, and patent-pending closed-loop architecture, is the exclusive property of ClickRadius LLC. We grant you a non-exclusive, non-transferable, revocable license to use the platform for your business purposes during the term of your subscription.

Content generated by the platform on your behalf (articles, schema markup, meta tags) becomes your property upon publication, subject to our continued license to use anonymized aggregate data for service improvement.

7. Service Levels & Guarantees

We commit to 99% platform uptime, excluding scheduled maintenance windows announced at least 48 hours in advance. We do not guarantee:

Specific search engine rankings
Specific AI citation rates or volumes
Specific traffic, lead, or revenue outcomes

AI engines and search engines are subject to algorithm changes beyond our control. Past results do not predict future outcomes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify, defend, and hold harmless ClickRadius LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your misuse of the platform; (c) your violation of any third-party rights; or (d) any content you submit, publish, or deploy through the platform.

10. Termination

Direct retail: after the 14-day trial, each subscription continues month-to-month with no minimum initial term. A cancellation takes effect at the end of the current paid period unless the payment processor or applicable law requires a different effective time.

Direct retail — term, renewal, cancellation and offboarding

The first 14 days are a trial. A payment method is required to start it, and cancelling before the trial ends avoids the first charge.
Direct retail service is month-to-month after the 14-day trial, with no minimum initial term.
After the trial, each paid period renews automatically at the price you accepted until you cancel.
A cancellation takes effect at the end of the current paid period. Service continues through that date, there is no cancellation fee, and amounts already due for that period are not refunded.
After service ends, your portal stays available in read-only mode for 90 days for evidence review and export. Published work is not removed, and no new work runs.

Agency wholesale: the Agency account has no account-wide minimum term. Each activated Client site has its own four-month initial term beginning on that site's payment-confirmed activation date, then renews month-to-month under the current Partner Agreement.

Agency wholesale — term, renewal and cancellation

There is no agency account minimum and no minimum number of client sites.
Each client site you activate has its own four-month initial term, beginning on that site's activation date.
After that initial term the site continues month-to-month on its own activation anniversary.
A cancellation requested during a site's four-month initial term takes effect at the end of that term. Service and ordinary monthly billing continue through that date, and no renewal period beginning on or after it is charged. Amounts already due are not refunded.

These are the terms of the Partner Agreement an agency signs. The agency reads and accepts the full agreement when it applies.

We may suspend or terminate an account for violation of these Terms, non-payment, fraudulent activity, or as required by law. After service ends, applicable records may be retained for up to 90 days for export, recovery, accounting, security, or legal purposes, subject to the Privacy Policy and legal retention duties.

11. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms shall be resolved by:

Good-faith negotiation between the parties for at least 30 days, then
Binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association.

You waive any right to a jury trial or to participate in a class action.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

13. General Provisions

Entire Agreement: these Terms, together with the Privacy Policy and any plan-specific addenda, constitute the entire agreement between you and ClickRadius.
Severability: if any provision is held invalid, the remainder shall continue in full force.
Assignment: you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or asset sale.
Force Majeure: neither party is liable for delays or failures caused by events beyond reasonable control.
